These License Terms and Conditions of Use ("Terms") constitute a binding agreement between the purchaser ("Licensee," "you") and Pure Fotografica LLC, a Florida limited liability company doing business as Lenspreneur Academy ("Lenspreneur Academy," "we," "us"), and govern the purchase, download, and use of all digital products offered in the Lenspreneur Academy shop, including without limitation posing guides, style and outfit guides, the Modern Headshot Client Lookbook, the White Table Posing System, Lightroom presets, and any bundle or collection thereof (collectively, the "Products"). By completing a purchase, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. GRANT OF LICENSE

Upon receipt of payment, Lenspreneur Academy grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Products in connection with the operation of one (1) photography business owned or operated by you (the "Licensed Business"). This license extends to employees and contractors of the Licensed Business acting within the scope of their engagement. Operation of the Products in connection with any additional or separate business entity requires the purchase of a separate license.

2. PERMITTED USES

Subject to these Terms, you may:

(a) use the Products in their original, unmodified form, including all photographs and example images contained therein, in the ordinary course of the Licensed Business and in the delivery of photography services to clients of the Licensed Business;

(b) provide client-facing materials (including the outfit guides, posing guides, and lookbook) directly to bona fide clients and prospective clients of the Licensed Business as part of your service delivery;

(c) modify and customize the editable template versions of the Products, including the addition of your own trademarks, branding, photographs, client examples, colors, and text, and use such customized versions in the manner described in subsections (a) and (b); and

(d) apply the preset Products to an unlimited number of photographs created by the Licensed Business, for client, commercial, and personal purposes.

No additional license, fee, or permission is required for the uses described in this Section 2.

3. PROHIBITED USES

You may not, and may not permit any third party to:

(a) sell, resell, license, sublicense, rent, lease, distribute, or otherwise transfer the Products, or any modified or customized version thereof, whether for consideration or free of charge;

(b) share, publish, or transmit the Products, including download files, PDF documents, or Canva template links, to or with any person or entity outside the Licensed Business;

(c) use the Products, in whole or in part, in connection with the education, training, or coaching of other photographers, or incorporate them into any course, workshop, template, guide, or other informational or educational product;

(d) upload the Products to any shared drive, file-sharing service, online community, marketplace, or machine-learning or artificial-intelligence training dataset;

(e) extract, reproduce, or use any photograph or example image contained in the Products outside the Products themselves, including in advertising, portfolio display, social media, or stock imagery, the parties acknowledging that such photographs depict clients of Lenspreneur Academy's affiliated studio and are licensed solely for use within the Products as delivered or as customized under Section 2(c); or

(f) remove, obscure, or alter any copyright notice or attribution contained in the Products, or represent the original designs, text, or images as your own creation.

4. INTELLECTUAL PROPERTY

The Products, including all original designs, layouts, text, photographs, systems, and methodologies contained therein, are and remain the exclusive intellectual property of Pure Fotografica LLC and are protected by United States and international copyright law. Your purchase conveys only the limited license expressly granted in these Terms and transfers no ownership interest of any kind. All rights not expressly granted are reserved.

5. REFUND POLICY

The Products are delivered by instant digital download. Accordingly, all sales are final and no refunds will be issued, except where required by applicable law. In the event of a defective file, failed download, or other technical inability to access a purchased Product, contact help@lenspreneuracademy.com and we will promptly repair or replace the affected Product or otherwise resolve the issue.

6. TERMINATION

This license is effective upon purchase and continues unless terminated. Lenspreneur Academy may terminate this license, and revoke access to the Products, upon any material violation of Section 3. Sections 4, 7, and 8 survive termination.

7. DISCLAIMER AND LIMITATION OF LIABILITY

The Products are provided "as is." Lenspreneur Academy makes no warranty, express or implied, regarding business results arising from use of the Products. To the fullest extent permitted by law, Lenspreneur Academy's aggregate liability arising out of or relating to the Products or these Terms shall not exceed the amount paid by you for the Product giving rise to the claim.

8. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. To the fullest extent permitted by law, and except as expressly provided in these Terms, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located nearest to Bonita Springs, Florida for any dispute arising out of or relating to these Terms or the Products.

9. GENERAL

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. These Terms constitute the entire agreement between the parties with respect to the Products and supersede all prior communications. Lenspreneur Academy may update these Terms from time to time; the version in effect at the time of purchase governs that purchase. Failure to enforce any provision shall not constitute a waiver.

10. EXTENDED LICENSING AND INQUIRIES

Requests for uses beyond the scope of this license, including educational or multi-business use, and any questions regarding permitted use, may be directed to help@lenspreneuracademy.com. Extended licensing may be available by separate written agreement.
